2. DEFINITION AND OBJECT OF THE AGREEMENT 

This document is a distance contract ( "Agreement") under and for the purposes of Art. 50 et seq. of the Government Decree 6th September 2005, No 206 ( "Consumer Code").
The contract concerns the sale of personal property by La Vecchia Scuola Srl (or "Seller") and the consumer ( the "Customer").  
The products on sale on the website www.lavecchiascuola.com are marketed and / or produced directly by La Vecchia Scuola Bolognese, after careful selection and rigorous quality control.  
La Vecchia Scuola Bolognese is also authorized to market used products that, within the website, will be clearly marked and highlighted to the customer.


3. ORDER

3.1 To carry out an order, it is necessary to be of age.
3.2 The submission of the "On-line"  order constitutes acceptance of the terms reported below therefore the conclusion of the contract.
3.3 In order to receive confirmation of the displayed information, according to  article 4, paragraph 1, Government Decree 185/1999, it is necessary to print or save these pages and those concerning the order in a computer format.
3.4 To carry out an order, it is necessary to fill in the form named "Registration Form" see "Register" for unregistered users, or "LOG IN" for users (Customers) who have already registered, then examine the "On-line Catalogue" of the site www.lavecchiascuolabolognese.com, use the "Trolley" specifically "Add to the trolley" and after making the "Confirmation of the Order," view "Order in detail", which is necessary to print and retain.

The products are divided into various categories (e.g. tools, food products, etc. ...).
3.5 The essential characteristics of products are on the website of the Seller. The images and colors of products offered for sale may however not be fully corresponding to the real ones due to the internet browser or the Customer’s monitor.
3.6 The products for which there is no availability are not immediately ordered, but it is necessary to wait for new available units.

4. PRICES

4.1 The prices indicated in the "on-line price list" are inclusive of VAT, unless otherwise indicated by the Seller.
4.2 The prices of products may be subject to updating. It is therefore necessary to ascertain the final purchase price before submitting its order form.  
For the products selected for the purchase, or included in the "Shopping Trolley” it will be displayed a "summary file" of the order with the indication of the unit price of what purchased, the total and the global amount including VAT and expressed in euros.
4.3 Once the order has been submitted, an e-mail "Confirmation of Order" will be automatically sent to the customer to the email address provided by the Customer.

5. TERMS OF PAYMENT

5.1 The payment of the purchased goods must be made in euros only.
5.2 The available terms of payment of the order is by PayPal.

In this case the customer is directed to thePayPal site (www.paypal.it) from which the payment can be made only after the buyer has logged in with  username and password.  
The data relating to the order are automatically set by the system.

a) the reference number of the order;  
b) the date of execution of the order;  
c) name and surname of the holder’s order;

The customer is directed to the PayPal (www.paypal.it) from which the payment can be made providing credit card information.

6. CUSTOMER’S OBLIGATIONS

6.1 The Customer states and guarantees:
(i) to be a consumer in accordance with art. 3 of the Consumer Code;
(ii) to be of age; 
(iii) the data supplied by the customer for the execution of the Agreement are true and correct. 


7. DELIVERY OF PRODUCTS

7.1 La Vecchia Scuola S.r.l. will deliver the products to the address indicated in the Order by the Customer, within 7 (seven) working days (except for holidays, Saturdays and Sundays) from the actual reception of the payment.  
Consignments will not be fractionated. In case of order of more products, one or more of which could not be immediately available, the order will be dispatched in a unique solution when all the ordered items are available, upon notice to the Customer .  
If the customer would like to receive immediately the available goods and postpone the delivery of not available products at a later moment, the buyer should opt for a double order. 

7.2The delivery will be through express courier.  
The delivery service includes packing and transportation.  
Upon delivery of the goods through courier, the Customer is required to check:  
that the packing of the purchased products is intact, unaltered and that the delivered packages correspond to what specified in the delivery document.
Any damages and / or the mismatch in the number of packages must be immediately notified to the courier making the delivery, marking on the transport document "goods subject to control".  
If the customer finds irregularities and / or damages to the purchased goods, they should be promptly reported within and no later than 3 days after the delivery of goods by written notice to be sent by registered letter (with acknowledgment of delivery) to the courier itself (at its registered office) as well as to the registered office of La Vecchia Scuola Srl.
N.B.: Once the document of the courier has been signed without the wording “goods subject to control”, the client could not plead for any objection about compliance and / or the number of delivered goods as regards the object of the order.  
The amount of the delivery service will be calculated on the basis of the weight / volume and value of the ordered products.

8. AVAILABILITY OF PRODUCTS

8.1 The delivery of products will occur within the period specified in paragraph 7.1.  
If, for reasons of availability, times should be longer, the Seller should contact  (also via e-mail) the Client, tell the waiting times and ask for confirmation of the order.
8.2 The Seller will accept the customer's  orders for the quantity of existing products. Therefore, the acceptance of the submitted order by La Vecchia Scuola Srl is subject to the availability of the products.  
The Seller agrees to promptly inform the Customer  for any unforeseen depletion of stocks due to excess of demand or other causes.

9. WARRANTIES AND ASSISTANCE

9.1 For the products purchased by the customer the rules about warranties and assistance regarding the sale of consumer goods are applicable to La Vecchia Scuola Srl.
9.2 The purchased goods are guaranteed from defects and faults directly from their producers and are therefore subject to the relative procedures for intervention.  
The Seller guarantees, however, the marketed products for twenty-four (24) months from the date of purchase. Within this period, the seller promises to replace the defective and / or non-compliant products.  
No warranty is issued on the conformity of products with rules and regulations in force in states outside the European Union.  
The above warranty will apply to products which show defects of conformity and / or failures not evident at the time of purchase, provided the product is used properly and with due diligence, that is, in respect of its destination and of what foreseen in the technical documentation, in accordance with the various operational rules here indicated.  
This guarantee will not apply in cases of negligence, carelessness in the use and maintenance of the product, of connection with electrical equipments or any other type of connection below standard.  
In case of lack of conformity the buyer has the right to restore the conformity of the goods by repair or replacement without any charges.  
In order to exercise and benefit from the rights indicated above, the buyer has to follow the instructions that will be promptly notified by the Seller after the buyer has communicated by registered letter with advice of receipt to make use  of the guarantee / restoration.  
The replacement / rstoration of the product will be done as quickly as possible, and also according to the technical and warehouse availability.

10. RIGHT OF WITHDRAWAL AND TERMS OF RETURNED GOODS

10.1 The sale of products through the Seller’s Internet site is subject to the Government Decree No. 185 of 22/5/1999 concerning the consumers’ protection in respect of "Distance contracts" which provides the opportunity for the buyer to exercise the right of withdrawal.  
The right of withdrawal applies to consumers i.e. physical people acting for purposes not related to their professional activity. Therefore, purchases made by retailers and companies are excluded from the right of withdrawal.
10.2 In accordance with the mentioned laws, that right cannot be applied in case of:  
- supply of audio-visual or software unsealed products, opened by the Customer; - supply of tailor-made or personalized products or which, by their very nature, cannot be returned or are liable to deteriorate or alter rapidly (e.g. cosmetics, flowers, foodstuffs);  
- Supply of newspapers, periodicals and magazines.
10.3 The Consumer may withdraw from the contract with La Vecchia Scuola Srl without penalty and without specifying the reason (if it were possible, we would like to know the motivation for an  improvement of the service) within 10 working days from the delivery of the goods.  
The products can be returned, in whole or in part.  
The consumer will be refunded the sums, excluding the costs of delivery and return of the goods, which will remain at expense of the buyer.
10.4 By the expected deadline (10 days), a written and signed registered letter with return receipt has to be sent to the registered office of La Vecchia Scuola Bolognese, stating the  intention to exercise the right of withdrawal.
Such communication shall state: the number and date of the order, number and date of the invoice, code and description of the items to return, the name of the Bank on which to obtain the transfer (IBAN code and number of the current account of the holder's bill for ITALY, plus the BIC or SWIFT code for all other countries).
In case that the holder of the invoice is not proprietor of an account, s/he can give that of a family member or an acquaintance, making explicit mention of authorization to La Vecchia Scuola S.r.l. to credit the amount to that account of which s/he will provide the name of the Bank on which to obtain the transfer (IBAN code and number of the Current Account indicated by the holder of the invoice for ITALY, plus BIC or SWIFT code for all other countries) .  
Within 48 (forty eight) hours from receipt of the registered letter, the Seller will send by e-mail a "Return Authorization" indicating the destination address where to send the returned items and the respective “Code of Withdrawal" by which the return of the material may be undertaken.  
The dispatch of these products by courier should report the address indicated on the Return Authorization and the Code of Withdrawal.  
Products must be carefully packaged so as to preserve the original covers, accompanied by the sale documents, attached to the consignment (DDT or transport document and contingent invoice).  
The goods shipped without the observance of these indications could be rejected. Within 30 (thirty) working days from receipt of the products, the Seller will provide to credit the Customer with the amount stated in the invoice relating to the products only and not of the additional costs.  
If there is not a correspondence between the consignee of the goods specified in the order form and who has executed the payment of the sums due for the purchase, a refund of the amounts, in case of the exercise of the right of withdrawal, will be executed by the Seller or, in any case in favour of the person making the payment.
10.5 "La Vecchia Scuola s.r.l." will return within 30 (thirty) days of receipt of the goods from the Customer: (i) the whole price paid by the Customer in case of returning the product, complete of all its parts and features except for the costs of transport or (ii) the part of the price equivalent to the product actually returned by the customer.
10.6 The right of withdrawal totally decays if the returned product is not intact or it is found:
a) a lack of the original packaging;  
b) absence of integral elements of the product (accessories, cables, instruction manuals, any label of the product with appropriate seal, DDT or transport document and any invoices etc..)  
c) damage to the product for reasons other than transportation.  
d) products damaged due to inadequate packaging for the shipment of returned material and / or carrier used.  
Non-collection of goods by the Customer will be understood as an exercise of the right of withdrawal and the goods will be retained by the Seller without any charge costs to the consumer, except for those of shipping.

11. CUSTOMS, TAXES, INVOICES

11.1 For the residents in an EU country  
The total price stated in the final summary of the Order on the site is the final price.  
It includes:  
the price of products;  
packaging costs;  
transportation costs;  
all taxes;

11.2 For residents in a country outside the EU  
The total price stated in the final summary of the Order on the site is the final price.  
It includes:  
the price of products;  
packaging costs;  
transportation costs;  
In this case that the shipment is sent to a country outside the EU, the goods will be subject to the imposition of any customs duties and sale taxes by the delegated authorities.
Duties and possible taxes vary from country to country and apply to the arrival of the goods in the country of destination.  
Any expenses relating to clearance operations are borne by the receiver of the shipment.
The shipment outside the EEC (countries outside the European Union) is executed without any charge of VAT.

11.3 We cannot deliver certain products in some countries of the world because of limits on importations.  
Therefore, we will try to point out in the schedules of products those that cannot be purchased

11.4 For each delivery or shipment both to holders of VAT  and to Private ones, a regular “Invoice” will be issued and will always be headed with the data of the Customer  Schedule ( "Consumer / Client"), except for publishing products that are not subject to VAT.  
Changes related to the invoice data and the Shipment of Products can be made directly on-line by changing the profile of personal data and changing or adding an address for shipping.

12. TREATMENT AND PRIVACY OF PERSONAL DATA

12.1 According to and for the effects of the provisions of the legislative decree of 30 June 2003, no 196 (code about protection of personal data), personal data, supplied and / or subsequently acquired will be treated by the Seller through electronic instruments and manuals towards current regulations regarding privacy.
12.2 The collected data will be used for the following purposes:  
a. registration to the service;  
b. conclusion of the contracts of sale and execution of the service;  
c. necessary accomplishments to implement the contractual set up relationship;  
d. possible sending of commercial information, advertising material, information and promotion called the "Newsletter".
12.3 All the collected data cannot be used for other purposes besides those mentioned above and will be kept for the period necessary to achieve them. After that time, the data will be cancelled or rendered anonymous. For detailed data about purchases and services, the times of storage will not exceed those established by law.
12.4 It is the customer's faculty to exercise at any time: the right to access to her/his personal data, ask for their correction, updating and cancellation if incomplete, incorrect or collected in violation of the current legislation and to oppose their treatment for legitimate reasons by addressing a written request by a registered letter with return receipt to the registered office of La Vecchia Scuola Bolognese.  
N.B: At any time the client can access and update her/his personal data.  
All data can be changed except for: Username, Company title, VAT, intracommmunity  Code, Name, Surname, Tax Code and Country, then click "Save" to save all changes.
12.5 The holder of data is La Vecchia Scuola Srl, with headquarters in Via Malvasia 49, 40131 Bologna (Bologna, ITALY).

13. RIGHTS OF INDUSTRIAL AND INTELLECTUAL PROPERTY

The present Site (hereinafter the "Site"), considered in its entirety, as well as all material therein contained, is protected by copyright laws, by trademark and / or the other intellectual property rights.

Vecchia Scuola Bolognese informs that in the pages of the site there could be also marks, domain names, company names, firms and signs owned by a third party with whom Vecchia Scuola Bolognese has cooperative relations in various capacities, which enjoy the same protection granted to the distinguishing marks Vecchia Scuola Bolognese of the existing rules.  
As an example, that material includes:  
photographs, images, illustrations, texts, films, audio reproductions, animated drawings or not, logotypes, trademarks, slogans, any graphic representation or text in general and any other material contained on this Site.  
It is therefore not possible to copy and / or reproduce in whole or in part the contents of the Site without the express permission of La Vecchia Scuola S.r.l.  
The name and trademark Vecchia Scuola Bolognese, logotypes and all the other distinctive signs related to Vecchia Scuola Bolognese and reproduced on the site, whether registered or not, are merchandise or service marks of La Vecchia Scuola S.r.l.

Vecchia Scuola Bolognese informs that it is absolutely forbidden to use all its distinctive signs that is as HTML commands that even if not involving the display or formatting of a definite command in all case provide instructions to electronic agents or search engines to increase the availability of a site other than that referable to Vecchia Scuola Bolognese.


14. PLACE OF JURISDICTION

The Agreement is regulated by the Italian law.  
Any dispute regarding the application, execution, validity, interpretation and breach of the contract will be either under the competence of the place of jurisdiction of the Customer's residence or domicile, if situated in the territory of the Italian State or the Court of Bologna if the Customer has her/his residence or domicile abroad.

15. CHANGES AND UPDATES

General Conditions of Sale may be modified, in whole or in part, from time to time  also in consideration of possible normative changes.  
The new General Terms of sale will be effective from the date of publication on www.lavecchiascuola.com.
